Senior Corporate Counsel - Enterprise Trust Engineering/Regulatory Compliance

The C+AI Trusted Platform Legal Team focuses on (1) providing legal support to the C+AI Trusted Platform engineering team, which drives data privacy, compliance, security, residency, and global availability for enterprise products and services in the C+AI business division, including Azure, Dynamics 365, and Power Platform; and (2) leading horizontal regulatory compliance initiatives across C+AI engineering and C+AI Corporate External and Legal Affairs (CELA) in partnership with Experiences + Devices (E+D), Microsoft Security, the field, marketing, and cross-company subject matter expert (SME) teams including Privacy & Regulatory Affairs (PRA), Intellectual Property Group (IPG), Office of Responsible AI (ORA), and the Office of Critical Infrastructure (OCI). 

Responsibilities
Trusted “compliance by design” advisor and legal counsel for the Trusted Platform data residency and foundation engineering client groups (includes teams that work across the engineering organization to manage cloud availability, resiliency, business continuity disaster recovery (BCDR), launch criteria, security, access control, and other technical areas).

  • Legal counsel for the Trusted Platform external risk mitigation team. Work with clients to proactively address and mitigate issues raised by regulatory or regulatory-adjacent entities EDPS, DIGIT, DSK, CNIL, Dutch MoJ). Partner with enterprise compliance engineering CELA teams in E+D and MS Security to harmonize internal requirements and external narratives across diverse products and services.

  • Partner with a variety of Microsoft subject-matter experts (SMEs), including Privacy & Regulatory Affairs, Intellectual Property Group, Competition, Office of Critical Infrastructure, and others, to track and interpret data residency, privacy, or other regulatory compliance developments worldwide. Identify developments that may impact the design, distribution, sale, or use of enterprise products and services and explore and advocate for alternative positions that could mitigate such impacts.

  • Work with SME teams to translate finalized legal and regulatory requirements into engineering-facing guidance that can be operationalized at scale through the Regulatory Governance Framework. Work with clients to promote compliance by design in engineering architecture, programs, or processes. Identify and anticipate legal risks in the client’s technology, program design, or process design and assist clients with developing creative solutions and alternatives to mitigate potential risk in a cost-effective way.

  • Embedded subject matter expert on enterprise data residency and other foundational engineering areas for colleagues in the C+AI legal group. Provide advice grounded in an understanding of how relevant laws and regulations may impact the development and distribution of enterprise products and services. Create efficiencies by developing scalable resources, distributing helpful information, providing presentations and trainings, and holding office hours.

  • Work with our commercial and engineering teams to address rapidly evolving customer and regulatory requirements related to the delivery of enterprise cloud services. Draft and negotiate contract language to memorialize Microsoft’s growing commitments in these areas and develop programmatic updates to address future customer deal escalations.

Qualifications
Required/Minimum Qualifications

  • Juris Doctorate Degree or Equivalent International Degree

    • OR Completion of a Legal Apprenticeship.

  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

  • 7+ years experience as a practicing attorney

    • OR equivalent practice of law.

  • Experience counseling engineering or other technical clients and translating legal requirements into actionable engineering-facing guidance

Additional Or Preferred Qualifications

  • Experience working with enterprise online services

  • Experience managing and driving to closure long-term, highly-matrixed, cross-organizational projects

  • Keen business sense, ability to think strategically and communicate effectively, and ability to establish a trusted advisor relationship with business and engineering clients

  • Ability to lead and drive to resolution complex projects with diverse stakeholders in varied disciplines and geographies; willingness to be available for occasional evening and early morning meetings with stakeholders in different time zones

  • Experience responding to requests or inquiries from enterprise customers, regulatory entities, non-governmental organizations, or standards bodies

  • Working knowledge of global data compliance laws, regulations, and codes (e.g., GDPR, CCPA, BIPA, FTC Act, PIPL, EU Data Act, DMA, DSA)

  • Working knowledge of a variety of compliance standards, security controls, audit processes, and certifications (e.g., ISO, SOC, HIPAA, NIST)

  • Demonstrated experience working efficiently, meet demanding deadlines in a fast-paced environment, and prioritize workflow when faced with competing demands
